CUB PACK 187 COMMUNITY OUTREACH EVENT VENDOR TERMS &amp; CONDITIONS

1. FEES: The fee for the service is as follows: If any sales take place at the event, the fee is 20% of sales, plus the sponsor package cost. Vendor table setup will include one table and, if requested, one elecrical outlet within 6 feet of the table,. If additional setup is required, Vendor agrees to pay for any additional setup costs.

2. VENDORâ€™S STATUS AS INDEPENDENT CONTRACTOR: The Vendorâ€™s services or merchandise is retained by Cub Pack 187 solely for the purposes and to the extent set forth in this AGREEMENT, and the Vendorâ€™s relationship to the Sponsor during the term of this contract shall be that of an Independent Contractor. The Vendor shall be free to dispose of such portion of the Vendorâ€™s entire time, energy and skill as the Vendor is not obligated to devote hereunder to the Sponsor as the Vendor sees fit, and to such persons, firms or corporations as Vendor deems advisable.

3. LIABILITY: The Vendor hereby releases and forever discharges Cub Scout Pack 187, and Boy Scout Troop 187, and Greater New York Councils of the Boy Scouts of America, and Immaculate Heart of Mary Church and School, their officers, agents, representatives, members, volunteers, and employees from any and all liability, losses, costs, expenses, causes of action, claims and suits for property damage, theft of property, personal injury or bodily injury (including death) arising in connection with the Vendorâ€™s service hereunder. The Vendor, at its own cost and expense, shall be solely responsible for securing and shall secure any and all vending, broadcasting and, other rights or licenses as may be required for any and all copyrighted works used by the Vendor during this engagement. The Vendor shall indemnify and hold harmless Cub Scout Pack 187, and Boy Scout Troop 187, and Greater New York Councils of the Boy Scouts of America, and Immaculate Heart of Mary Church and School, their officers, agents, representatives, members, volunteers, and employees from any and all liability, losses, costs, expenses, including reasonable attorneys fees, causes of action claims and suits, whether based upon infringement of copyright or other proprietary right or negligent or intentional acts or omissions of the Vendor, its officers, agents and employees, arising in connection with the Vendorâ€™s services hereunder.

4. PRODUCT LIABILITY: The Vendor hereby totally and unequivocally releases, indemnifies and holds harmless Cub Scout Pack 187, and Boy Scout Troop 187, and Greater New York Councils of the Boy Scouts of America, Immaculate Heart of Mary Church and School, and the Sponsor for any and all liability resulting from any product or service provided for sale by the vendor, including, but not limited to, loss of profits, suitability for specific purposes, loss of income, consequential damages, punitive damages, loss of use, bodily injury including death, property damage, and personal injury.

5. INSURANCE: The Vendor shall provide a Certificate of Insurance evidencing the following coverage:  (1) General Liability Insurance, including Contractual Liability and Products/Completed Operations, of at least $1,000,000 per occurrence and written on an occurrence basis, (2) Automobile Liability Insurance, and (3) Workerâ€™s Compensation including Employerâ€™s Liability Insurance of at least $300,000 per occurrence. The Vendor hereby acknowledges that it will not be allowed to set up if insurance requirements have not been met and the Vendor hereby totally and unequivocally releases, indemnifies and holds harmless Cub Scout Pack 187, and Boy Scout Troop 187, and Greater New York Councils of the Boy Scouts of America, and Immaculate Heart of Mary Church and School for any losses suffered by the Vendor due to its failure to abide by the conditions of this section.

6. SECURITY: The Vendor assumes all responsibility for the security of all its materials, equipment and merchandise. Specifically, the Vendor hereby releases and holds harmless Cub Scout Pack 187, and Boy Scout Troop 187, and Greater New York Councils of the Boy Scouts of America, and Immaculate Heart of Mary Church and School, from all liability due to damage or loss to any merchandise, materials and equipment supplied by the Vendor. The Vendor acknowledges that smoking, controlled substances, and alcohol policies and regulations of the State of New York and the City of New York and The Boy Scouts of America shall be in effect. THERE SHALL BE NO SMOKING AND ABSOUTELY NO USE OF CONTROLLED SUBSTANCES OR ALCOHOLIC BEVERAGES IN ANY AREA OF THE FACILITIES.

7. SCOUT POLICIES: The Vendor hereby confirms that all applicable Boy Scouts of America and Cub Pack 187 policies will apply. Specifically, the Vendor hereby acknowledges that current Cub Pack 187 Policy requires that all money be handled by the Cub Pack.

8. SALES TAX: The Vendor will pay all Sales Taxes and maintain all required documentation and records as required by any governmental entity.

9. EXPENSES: Vendor will reimburse the Cub Pack 187 for any expenses it incurs due to the Vendorâ€™s activities. Such expenses may include, but are not limited to, clean-up, grounds or building area restoration, and security. Vendor will pay any amounts owed to Cub Pack 187 within fifteen (15) days receipt of invoice. The Cub Pack 187 is responsible for any uncollected billings from the Vendor. The Cub Pack 187 may require a deposit from the Vendor.

10. SPECIFICATION: The Vendorâ€™s service shall begin at approximately 5:00pm at the discretion of Cub Pack 187's representative. The service shall have a minimum duration of 4 hours and a maximum duration of 7 hours. Cub Pack 187 shall be responsible for providing the following to fulfill Vendorâ€™s needs: (completed on web form). Cub Pack 187â€™s representative will maintain the right of control, supervision and coordination over any of the aforementioned and/or personnel requests. There may be additional fees to Vendor for specific requests. Cub Pack 187 shall guarantee that the place to be used for the service will be closed to access by the public between 5pm and 6:30pm on the date(s) of the services. The Vendor assumes sole responsibility for the acquisition of and all costs for lodging accommodations. Cub Pack 187 reserves the right to suspend, postpone, cancel or reschedule any event. It is agreed that payment by Cub Pack 187 in accordance with AGREEMENT hereof is expressly conditioned on full service by the Vendor who will be responsible for providing the duties and obligations herein created. In the event the Vendorâ€™s service or any such duty or obligation is prevented by reason of any cause or causes beyond the Cub Pack 187 or Vendorâ€™s control, the Cub Pack 187 shall pay, within a reasonable time following any partial performance by Vendor, reasonable compensation for services actually rendered by Vendor. The Vendor will provide the Cub Pack 187â€™s representative with the following promotional materials: (completed on web form). The promotional materials shall become the property of Cub Pack 187. The Vendor acknowledges receipt of sufficient information concerning the place where service is to take place and that the physical conditions of said place are adequate to perform the service. The Vendor shall have access to the place at 5pm on the date of the engagement. Should circumstances necessitate cancellation of the event, such will be determined by joint consent, and the undersigned parties agree to reschedule the service at the earliest possible date of mutual convenience. In the event of a cancellation by joint consent, each of the undersigned parties shall be solely responsible for its own incurred costs.

11. FORCE MAJEURE: No Party shall be liable for any failure to perform its obligations under this Agreement where such failure is proximately caused by circumstances or events not reasonably in the control of either Party, including: Acts of nature (including flood, fire, storm, tornado, earthquake, hurricane, and other natural disasters), war, terrorism, riot, epidemic, labor strike and other industrial dispute, or by any law, regulation, order, or other action by any public or regulatory authority. Any Party asserting Force Majeure as an excuse shall, to the extent possible, consult with the other party in an effort to resolve the underlying situation or otherwise reach a mutual resolution. Where no such mutual resolution is reached, the party asserting Force Majeure shall have the burden of proving that reasonable steps were taken under the circumstances to minimize delay or damages caused by foreseeable events, that all obligations not excused by Force Majeure were substantially fulfilled, and that all other Parties were timely notified of the likelihood or actual occurrence which would justify such an assertion, so that other prudent precautions could be contemplated. Performance is only excused to the extent limited, delayed, or prevented by any of the above causes. Under any circumstances, Cub Pack 187 shall not be required to pay Supplier if there are no services or equipment provided.

12. MISCELLANEOUS: This a fully integrated contract it is further understood that this AGREEMENT contains the whole AGREEMENT between the Obligor and the contracted party and this document supersedes any other terms obligations, covenants, representations, statements or conditions, oral or otherwise of any kind whatsoever concerning this contract, not expressly set forth herein. Furthermore, this AGREEMENT may not be modified, amended, changed or altered except in writing executed by both parties. This AGREEMENT shall be governed by Laws of The State of New York of the United States of America. Venue for any and all legal actions brought under this Agreement shall be the courts for the County of Kings, State of New York
